Terms of Service

These terms are an agreement between you and Interlink Foundry LLC, a California limited liability company, which operates Interlink Foundry. They govern your use of the service. By creating an account you agree to them. If you do not agree, do not use the service.

What Interlink Foundry is

Interlink Foundry is an introduction and information platform for private markets. It helps founders, investors, business sellers and buyers find each other, share information, and communicate.

What Interlink Foundry is not

• We are not a broker-dealer, investment adviser, investment bank, or business broker.
• We do not offer, solicit, sell, or recommend securities, and nothing on the platform is an offer to buy or sell any security or business.
• We do not provide investment, financial, legal, tax or accounting advice.
• We are not a party to any transaction between participants, and we do not hold, transfer, or escrow transaction funds.
• We do not guarantee that any introduction, match, connection or conversation will result in a transaction.

Any decision to invest in, acquire, or sell a business is yours. Conduct your own due diligence and take your own professional advice.

Your account

• You must be 18 or older and able to enter into a binding agreement.
• Provide accurate information and keep it current.
• You are responsible for activity under your account and for keeping your credentials secure.
• One account per person. Do not impersonate anyone or misrepresent your affiliation with a company.

Content you submit

You keep ownership of what you upload. You grant us the licence needed to host, display, and process it in order to operate the service — including showing it to the participants you choose, and processing it through automated analysis where you request that.

You are responsible for having the right to share what you upload. Do not upload:

• material you are not permitted to disclose, including information covered by someone else's confidentiality obligation;
• material that infringes another party's rights;
• false or misleading information about a company, its finances, or its performance;
• malicious files.

Confidentiality between participants

Data rooms and deal rooms exist so that participants can share sensitive material with specific counterparties. Where you accept a non-disclosure agreement or equivalent term through the platform, that agreement is between you and the other participant. We are not a party to it and do not enforce it on your behalf.

Automated analysis

Reports, scores, valuations, match bands and other analysis are generated in part by automated systems and may be incomplete or wrong. They are provided as information only, without warranty, and must not be treated as a valuation opinion, a fairness opinion, an audit, or advice. Verify anything you intend to rely on.

Paid features

• Prices and what each paid feature includes are shown before you purchase.
• Payments are handled by our payment provider and are subject to its terms.
• Subscriptions renew until cancelled. You can cancel at any time, effective at the end of the current period.
• Except where required by law, payments for analyses already generated are non-refundable, because the work is performed on purchase.

Acceptable use

• Do not scrape, harvest, or bulk-export other participants' information.
• Do not use the platform to send unsolicited marketing.
• Do not attempt to gain access to documents, data rooms, or conversations you were not granted access to.
• Do not interfere with the platform's operation or security.

Moderation

Participants can report content. A report may make content temporarily unavailable while it is reviewed. We may remove content or suspend accounts that breach these terms.

Disclaimers and liability

The service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. We do not warrant that the platform will be uninterrupted or error-free, or that information published by other participants is accurate.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost opportunities, or losses arising from a transaction or failed transaction between participants.

Termination

You may stop using the service and delete your account from your settings at any time. We may suspend or terminate access for breach of these terms.

Changes

We may update these terms. If a change is material we will update the date above and notify account holders. Continuing to use the service after a change means you accept the updated terms.
